Terms, privacy, and the fine print.

NDAKit is a self-help service. We are not a law firm, we do not provide legal advice, and using NDAKit does not create an attorney-client relationship. Our templates are starting points informed by attorney review — not bespoke legal advice for your specific situation.

If you are uncertain about any clause, jurisdictional issue, or negotiation point, consult a licensed attorney before signing.

Our pre-built NDA templates (mutual, one-way, contractor, vendor) have been reviewed by practicing attorneys and updated to reflect current state-specific compliance requirements. They are nevertheless general-purpose templates.

You are responsible for ensuring that any NDA you generate, send, or sign through NDAKit is appropriate for your specific situation and complies with all applicable laws.

You agree to:

• Provide accurate information about yourself and any counterparties.
• Use NDAKit only for lawful business purposes.
• Not impersonate another person or entity.
• Not use NDAKit to send NDAs that conceal unlawful conduct, harassment, discrimination, or retaliation.
• Not attempt to circumvent rate limits, abuse our infrastructure, or reverse-engineer our service.
• Comply with all applicable export, sanctions, and data-protection laws.

Paid plans are billed monthly or annually in advance. See /pricing for current rates. Overage fees, where applicable, are billed at the end of the billing cycle. All fees are non-refundable except as required by law.

We may change pricing with 30 days' written notice. Continued use of paid features after the effective date constitutes acceptance of the new pricing.

To the maximum extent permitted by law, NDAKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost data, or business interruption, arising out of or related to your use of the service.

Any dispute arising out of or related to these Terms or the service shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

Class action waiver. You and NDAKit each waive the right to bring any claim as a class, collective, or representative action. This waiver applies only to business customers; consumer claims under applicable law are not waived where prohibited.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Subject to the arbitration clause above, the state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any non-arbitrable disputes.

You may terminate your account at any time by contacting support@ndakit.com. We may suspend or terminate your account for material breach of these Terms with notice (or immediately, where the breach threatens our infrastructure or other users).

Following termination, signed NDAs and audit logs will be retained for the period described in our Privacy Policy to satisfy legal-compliance obligations.

We may modify these Terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the modified Terms.
